Mr. Hartenstein was the publisher and chief executive officer of the Los Angeles Times from August 2008 to August 2014. In addition, he served as co-¬president of the Tribune Company from October 2010 to May 2011 and as president and chief executive officer from May 2011 to January 2013. Previously, Mr. Hartenstein was vice chairman and a member of the board of directors of The DIRECTV Group Inc. (formerly Hughes Electronics Corp.), from December 2003 until his retirement in December 2004. He served as chairman and chief executive officer of DIRECTV Inc. from late 2001 through 2004 and as president from its inception in 1990 to 2001. Mr. Hartenstein is a member of the National Academy of Engineering, was inducted into the Broadcasting and Cable Hall of Fame in 2002, received an Emmy® Award for lifetime achievement from the National Academy of Television Arts and Sciences in 2007 and was inducted into the Consumer Electronics Hall of Fame in 2008. He currently serves as non¬executive chairman of the board of tronc, Inc. (formerly known as Tribune Publishing Company); as lead independent director of the board of SIRIUS XM Holdings Inc., where he also serves on the audit committee; as a director on the board of TiVo Corporation, where he also serves on the compensation and strategic committees. Mr. Hartenstein also served as a director of Broadcom Corporation from June 2008 until January 2016; SanDisk Corporation from 2005 to May 2016; Rovi Corporation from September 2005 until its acquisition by TiVo in September 2016 and Yahoo, Inc., from April 2016 to June 2017. Mr. Hartenstein’s qualifications to serve on our Board include his business leadership and extensive senior management experience, including successfully creating and entering new markets, as well as his considerable public company directorial and governance experience.
