Brian Sandstrom

Brian Sandstrom is the VP and Associate General Counsel at Moderna Therapeutics. Brian has over thirteen years of experience as a corporate lawyer, including eight years at GE. At GE, Brian was responsible for advising top-level management and the board on capital markets and other transactions, corporate governance, securities law compliance, and public disclosure. Brian also oversaw shareholder engagement, prepared briefing books for board and committee meetings, drafted minutes, identified and vetted potential director candidates, drafted and reviewed Securities Act and Exchange Act filings (including 10-Ks, 10-Qs, 8-Ks, annual proxy statements, Section 16 filings, and 13Ds), managed international share benefit plans, and oversaw major corporate transactions (including the $20 billion split-off of Synchrony Financial) and corporate securities aspects of GE Capital reorganization (including debt tenders and preferred stock issuance). Brian was also responsible for retention and oversight of outside law firms. Brian's group was named “Corporate Governance Team of the Year” by Corporate Secretary magazine.

Before joining GE in 2015, Brian was an associate at Cleary Gottlieb Steen & Hamilton LLP for over seven years. Brian advised clients on a variety of matters relating to mergers & acquisitions, securities regulation, and corporate governance.

Brian Sandstrom has a JD from Stanford Law School, an MA in International Business and Law from the University of Sydney, and a BA in Brian'story, International Studies from Northwestern University. Brian is also a Visiting Scholar in Modern Brian'story at the University of Oxford. Brian is certified by the Massachusetts Board of Bar Overseers in Massachusetts In-House Counsel and by the New York State Courts in Admitted to the New York Bar.
